Please read these terms carefully before using this system.

This automated reservations system is offered to the Travel Agent/Agency conditioned on acceptance by the Travel Agent/Agency of the terms, conditions and notices contained herein, without modification. By accessing and using this automated reservations system, the Travel Agent/Agency is deemed to have agreed to all such terms, conditions and notices.

Rockwell Tours and International Lifestyles have developed an automated reservation system known as Rockwell Tours Online Booking System that enables travel agents, among other things, to access live availability, book rooms and provide travelers pertinent information relating to all packages offered by Rockwell Tours and International Lifestyles.

Rockwell Tours and International Lifestyles have a confidential computer software program that will permit access to Rockwell Tours Online Booking System with the agents' personal computer equipment. Rockwell Tours and International Lifestyles, confidential computer software program, may be updated, improved and modified from time-to-time without notification.

The parties agree as follows:

Training/Consulting. Personnel from Rockwell Tours and International Lifestyles shall be available during designated business hours to train, assist and provide support for Agency employees in the use of Rockwell Tours Online Booking System.

Updates/Maintenance. Rockwell Tours and International Lifestyles shall provide at their discretion updates and improvements of the Online Booking System. Rockwell Tours and International Lifestyles shall repair and maintain the Online Booking System as necessary to correct any identifiable problems.

In no event shall Rockwell Tours and International Lifestyles be liable to the Travel Agent/Agency for any damages to the software or hardware used including, but not limited to, damages to the Personal Computer Equipment.

The Software System shall be used exclusively for the Travel Agent's/Agency's legitimate business purposes in booking and otherwise supplying customers with information pertinent to the packages offered by Rockwell Tours and International Lifestyles. Travel Agent/Agency shall prevent the operation or use of the Online Booking System, or the use of the information supplied thereby, by any party for any unauthorized or personal purposes, including the making of bookings through the Online Booking System that are not bona fide.

The Online Booking System is proprietary and confidential to Rockwell Tours and International Lifestyles, and all copyrights, patents, trade secrets or other rights relating thereto, are and will remain the sole and exclusive property Rockwell Tours and International Lifestyles. Travel Agent/Agency shall have no right, title or interest in the Online Booking System.

Travel Agent/Agency shall not advertise or promote the Rockwell Tours Online Booking System, or otherwise publicly identify itself with Rockwell Tours Weblink Program, without the prior written consent of Rockwell Tours and International Lifestyles in each instance. Without limitation of the foregoing, Travel Agent/Agency shall prominently state in any public disclosures that is has been licensed the right to use the Software System Rockwell Tours and International Lifestyles.

Travel Agent/Agency will provide an Administrator to assign a company password for access to the Software System. The Administrator is responsible for the maintenance and changes of the company password.

Travel Agent/Agency understands that abuse of the Online Booking System may result in access being denied.

Rockwell Tours and International Lifestyles shall not be liable to the Travel Agent/Agency for, and the Travel Agent/Agency shall hold Rockwell Tours and International Lifestyles harmless from, any claims for any injury, loss, claim or damage caused by any act, error, omission or negligence of Rockwell Tours and International Lifestyles in compiling or transmitting data on the Online Booking System or in installing, maintaining or communicating with the Online Booking System. Without limitation of the foregoing, Rockwell Tours and International Lifestyles shall not be liable to the Travel Agent/Agency for, nor deemed to be in default on account of, any delays, error, viruses, malfunctions or breakdowns to the Online Booking System, regardless of Rockwell Tours and International Lifestyles negligence.

Rockwell Tours and International Lifestyles reserve the right to change this Agreement at any time by amending/modifying the conditions. Rockwell Tours and International Lifestyles reserve the right to terminate this Agreement at any time. It is the responsibility of the Travel Agent/Agency to review these conditions periodically. Travel Agent/Agency accepts the conditions with the continuous use of this Software System.
